This agreement is between Danny Holland, trading as Vantera ("Vantera", "we", "us") of 39 Windsor Road, High Barnet, EN5 2LX, and the person or organisation that installs or uses Vantera ("you"). Contact: hello@vanterastudio.com.

By installing, opening or using Vantera you agree to this agreement. If you do not agree, do not install or use it. If you are accepting on behalf of an organisation, you confirm you have authority to bind it.

If you bought a licence, our Terms of Sale also apply. If the two ever conflict, the Terms of Sale win on payment, refunds and our liability to you; this agreement wins on how the software may be used.

1. What this agreement covers

"Vantera" means the Vantera application for macOS and for Windows, its updates, its user manual, and the components we supply with it, including the NDI® runtime (section 8).

Vantera is licensed, not sold. We, and the companies whose components we include, keep ownership of the software and all intellectual property in it.

2. The trial

You may use Vantera free of charge for a trial period (currently seven days) to decide whether it suits you. During the trial some features are limited: for example, only a few cameras can be driven at once. When the trial ends, Vantera stops working until you enter a licence key. The trial needs an internet connection once to start (see our Privacy Notice).

The trial is for evaluation only, not for paid productions.

3. Your licence

When you have paid for a licence, we grant you a non-exclusive, non-transferable right, for the term of that licence, to:

  1. install and use Vantera, at the edition your key unlocks, on one production computer; and
  2. install it on one standby computer, to take over if the production computer fails or is being serviced. The standby is not a second production system: do not run both for separate productions at the same time.

Your key unlocks an edition (Studio, Pro or Broadcast). Each edition includes the features and number of recording channels described in our price list at the time you bought it.

Annual licences last one year from the date the key is issued and do not renew automatically. Vantera reminds you as the end date approaches. After the end date there is a 30-day grace period in which everything keeps working; after that, Vantera stops working until a new key is entered. A take or show already running when the grace period ends is never stopped: Vantera keeps its licence until it is quit.

You may also make one backup copy of the installer.

4. What you may not do

You may not, and may not allow anyone else to:

  1. copy, install or use Vantera beyond what section 3 allows;
  2. share, publish, sell, rent, lend or transfer your licence key, or use one key on more computers than section 3 allows;
  3. remove, disable, bypass or interfere with the licence check, the trial or any other technical limit in Vantera;
  4. modify, adapt, translate or create derivative works of Vantera;
  5. reverse engineer, decompile or disassemble Vantera, except to the extent the law expressly allows you to despite this restriction (for example, under section 50B of the Copyright, Designs and Patents Act 1988, to achieve interoperability);
  6. remove or alter any copyright, trademark or other notice in Vantera; or
  7. use Vantera in breach of any law, including export control and sanctions law.

5. Your responsibilities in use

Vantera controls cameras, records and streams live. You are responsible for:

  1. People and equipment. Pan, tilt and zoom move real cameras. Make sure no one can be hurt by, and nothing can be damaged by, a camera that moves. Never rely on Vantera as a safety system.
  2. Your recordings. Check your recordings, keep backups of anything that matters, and make sure you have enough free disk space for the take.
  3. Rights and permissions. Have the rights and permissions you need to record, stream and broadcast what you capture, including the consent of anyone filmed where the law requires it, and music and performance rights.
  4. Passwords and stream keys. Vantera stores the camera passwords and stream keys you give it in your computer's own secure storage (the macOS Keychain). Keep your computer and user account secure.
  5. Your network. Vantera talks to cameras, routers, panels and receivers over your network. Some features (for example, answering hardware panels and serving iPad show pages) open a listening port on your network when you turn them on. Use them on networks you trust.

6. Updates

We may offer updates through Vantera's built-in update check. An update may add, change or remove features. While your licence is current, updates for your edition are included. You do not have to install an update, but a fault may only be fixed in a newer version.

7. Ending this agreement

This agreement lasts until your licence ends. It ends automatically, without notice, if you break section 4. You may end it at any time by uninstalling Vantera.

When it ends you must stop using Vantera and delete it from your computers. Sections 4, 8, 9, 10 and 11 continue after it ends.

8. NDI® and other third-party components

Vantera includes the NDI® runtime library from Vizrt NDI AB, and other third-party components listed in Vantera's About window. For the NDI® components, and in addition to everything above:

  1. you may not modify the NDI® SDK, any NDI® Products, or any part of them;
  2. you may not reverse engineer, disassemble or recompile the NDI® SDK, any NDI® Products, or any part of them, or any protocols they use, whether transmitted or received over a network or used inside or outside the machine (physical or virtual) they run on, and you may not attempt to do so;
  3. you may not circumvent any technical limitations in the NDI® SDK or any NDI® Products;
  4. you may not remove, obscure or alter any proprietary notices or labels contained on or within the NDI® SDK or any NDI® Products;
  5. Vizrt NDI AB and its licensors give no warranty of any kind for the NDI® components, and all warranties on their behalf are disclaimed;
  6. to the extent permitted by law, Vizrt NDI AB and its licensors are not liable for any damages, whether direct, indirect, incidental or consequential, arising from your use of Vantera or the NDI® components;
  7. you must comply with all relevant export laws and regulations of the United States, so that Vantera and the NDI® components are not exported, directly or indirectly, in violation of United States law; and
  8. if you use Vantera to develop third-party products, you must comply with the terms of the NDI® SDK licence, including keeping those products currently and completely NDI® compatible, and you must include the terms of this section in your own end user licence agreement.

The NDI® components are copyright © NDI, Inc. and Vizrt NDI AB. NDI® is a registered trademark of Vizrt NDI AB. Vantera is not a product of, or endorsed by, Vizrt NDI AB.

The other third-party components are used under their own licences, which are reproduced in Vantera. Those licences govern those components; nothing in this agreement limits rights they give you.

Other names mentioned in Vantera (including Blackmagic Design, DeckLink, Videohub, ATEM, Panasonic, Sony, Canon, Stream Deck, YouTube and Apple) are trademarks of their owners, used only to describe compatibility. Vantera is not endorsed by any of them.

9. Warranty

If you are a business customer, the warranty and remedies in our Terms of Sale are the only ones we give, and to the extent the law allows, Vantera is otherwise provided "as is". We do not promise that Vantera will be free of errors or will run without interruption, or that it will work with every camera, card, router, panel, network or computer.

If you are a consumer, you have legal rights under the Consumer Rights Act 2015: digital content must be of satisfactory quality, fit for purpose and as described. Nothing in this agreement affects those rights. See our Terms of Sale for what we will do if Vantera is faulty.

10. Our liability to you

Our liability to you is set out in our Terms of Sale. If you are using the free trial and have paid nothing, then to the extent the law allows, we are not liable to you for any loss arising from the trial, except that nothing in this agreement limits or excludes liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit or exclude.

11. General

  1. Law. This agreement is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your own courts, and you keep the protection of the mandatory laws of the country where you live.
  2. Changes. We may update this agreement for future versions of Vantera. The version that applies to you is the one in force when you installed or last updated Vantera.
  3. Whole agreement. This agreement, with our Terms of Sale and the price list or invoice for your licence, is the whole agreement between us about Vantera.
  4. Transfer. You may not transfer this agreement or your licence without our written permission. We may transfer our rights and obligations to someone who takes over the Vantera business, and we will tell you if we do.
  5. If part is invalid. If a court finds part of this agreement unenforceable, the rest still applies.
  6. No waiver. If we do not enforce a right straight away, we can still enforce it later.
  7. Third parties. Only you and we can enforce this agreement, except that Vizrt NDI AB may rely on section 8.
