These terms apply when you buy a Vantera licence. Please read them before you pay. They work alongside our Licence Agreement, which covers how the software may be used, our Refund Policy, and our Privacy Notice.
1. Who we are
Vantera is sold by Danny Holland, trading as Vantera, of 39 Windsor Road, High Barnet, EN5 2LX. Email: hello@vanterastudio.com. We are not registered for VAT, so no VAT is charged.
2. Business customers and consumers
You are a business customer if you buy for a business, charity, church, school, college or other organisation. You are a consumer if you buy as an individual, wholly or mainly outside your trade, business, craft or profession.
When you order, our order form asks Who is buying? and you choose either "An organisation (school, church, company or other body)" or "Me, as an individual". We treat an order placed as an organisation as a business order, and an order placed as an individual as a consumer order.
Some sections apply differently to consumers, and say so. If you are a consumer, nothing in these terms takes away your legal rights.
3. What you are buying
You are buying an annual licence to use one edition of Vantera (Studio, Pro or Broadcast) on one production computer, with one standby computer at no extra charge, on the terms of our Licence Agreement. Each licence includes, for its year:
- every update to Vantera released for your edition; and
- email support at hello@vanterastudio.com, 9am to 5pm UK time, Monday to Friday. We aim to reply within one working day.
What each edition includes is set out in our price list at the time of your order. Vantera runs on Macs with Apple silicon and macOS 13 or later. Please use the free trial to check Vantera works with your cameras, capture cards, routers, panels and network before you buy.
4. Prices and ordering
- Prices are in our price list and on your invoice. We send our price list on request, and in the pricing email we send when you use Unlock the full version in Vantera or ask us for prices. The price on your invoice is the price you pay.
- Ordering. You ask us for an invoice, either through the Get an invoice link in our pricing email (the order form described in section 6) or by emailing us. Your invoice shows the edition, the price, your details and the payment due date.
- The contract between us is formed when you pay the invoice, or, if you are a business customer who sends us a purchase order, when we accept that purchase order in writing.
- Payment is due within 30 days of the invoice date, by bank transfer to the account shown on the invoice.
- Mistakes. If we have made an obvious error in a price or description, we will tell you before your key is issued and you can choose not to go ahead.
5. Delivery of your licence key
We send your licence key by email to the address on your invoice once your payment reaches us, normally within two working days. Your licence year starts on the day the key is issued. You enter the key in Vantera's Settings › Licence; it is checked on your computer and needs no internet connection.
6. Your right to cancel (consumers only)
As a consumer buying digital content at a distance, you normally have 14 days, starting on the day the contract is made, to change your mind and cancel. That right ends once we have started to supply the digital content with your agreement and your acknowledgement that you lose it.
The order form. When you use the Get an invoice link, the order form asks:
- Who is buying? You must choose one of "An organisation (school, church, company or other body)" or "Me, as an individual".
If you choose "Me, as an individual", the form shows a tick box that you must tick before you can ask for your invoice:
I want my licence key sent as soon as my payment arrives, within the 14-day cancellation period, and I understand that I lose my right to cancel once the key has been sent.
We store your buyer type, and for an individual the date and time you ticked the box, with your invoice. The invoice email we send to an individual repeats the confirmation. If you ask for an invoice by email instead of using the form, we will ask you the same question, and we will not send your key until you have given the same confirmation in writing.
If you give that confirmation, your right to cancel ends when we send your key. If you have paid but we have not yet sent your key, you may still cancel by emailing us, and we will refund you in full within 14 days of your telling us.
This does not affect your rights if Vantera is faulty (section 7).
Business customers do not have a cancellation right. Our Refund Policy explains when we give refunds, including a full refund if you have paid and we have not yet sent your key.
7. If Vantera does not work as it should
For everyone: if Vantera does not do what our price list and user manual say it does, tell us at hello@vanterastudio.com. Include what happened, and, if you can, a problem report from Vantera (About › Report a problem). We will try to fix it, by a workaround, a configuration change or an update.
Business customers: if we cannot fix a fault that you reported within 30 days of your report, you can choose to end your licence and get a refund under our Refund Policy. That is your only remedy for a fault in Vantera. We warrant that, for the licence year, Vantera will perform substantially as described in our price list and user manual. To the extent the law allows, we give no other warranty, and all terms implied by statute or common law are excluded.
Consumers: under the Consumer Rights Act 2015, digital content must be of satisfactory quality, fit for purpose and as described. If it is not, you are entitled to a repair or replacement; if that is impossible, or we fail to do it within a reasonable time and without significant inconvenience to you, you are entitled to a price reduction, which may be a full refund. If faulty digital content we supplied damages a device or other digital content that belongs to you, we will either repair the damage or pay you compensation. This is a summary of your key legal rights; for detailed information, contact Citizens Advice.
What is not a fault:
- hardware, firmware, operating systems or networks that are not listed as supported in our user manual or price list, or that the manufacturer has changed since the version of Vantera you are using;
- problems caused by your network, power, computer, cameras or other equipment;
- a copy of Vantera that has been altered, or a licence used in breach of the Licence Agreement; and
- features we describe as experimental or not yet available.
8. Renewal
Licences do not renew automatically, and we never take payment without an invoice you have accepted. Before your licence year ends, Vantera and we will remind you. To renew, ask us for a new invoice. After the end date your licence keeps working for a 30-day grace period. Prices for a renewal are those in our price list at the time of renewal.
9. Our liability
9.1 For everyone
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit or exclude.
9.2 Business customers
- We are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for: loss of profits, revenue, business, contracts or goodwill; loss or corruption of recordings, footage or other data; the cost of a failed, interrupted or repeated recording, stream, broadcast, event or service; or any indirect or consequential loss.
- Our total liability to you arising from or in connection with your licence is limited to the amount you paid us for that licence in the 12 months before the event giving rise to the claim.
- Vantera is a tool for skilled operators. You are responsible for checking recordings, keeping backups, and having a fallback suitable for the importance of your production.
9.3 Consumers
We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. Loss or damage is foreseeable if it was obvious it would happen or if, when the contract was made, we both knew it might happen. We are not responsible for loss or damage that is not foreseeable. We supply Vantera for domestic and private use: if you use it for a commercial purpose, we are not liable to you for loss of profit, loss of business, business interruption or loss of business opportunity.
10. Events outside our control
We are not responsible for delay or failure caused by events outside our reasonable control, including failures of the internet, email, hosting, payment or third-party services. If such an event affects us, we will tell you and do what we reasonably can to reduce its effect.
11. Changes to these terms
We may update these terms. The version that applies to your purchase is the one in force on the date of your invoice. A renewal is a new purchase under the terms in force on the renewal invoice date.
12. General
- Law and courts. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer, you may bring proceedings in England and Wales, or in Scotland or Northern Ireland if you live there, and you keep the protection of the mandatory laws of the country where you live.
- Complaints. Please email hello@vanterastudio.com first. We will reply within one working day and try to resolve things quickly.
- Transfer. You may not transfer your licence without our written permission. We may transfer our rights and obligations to someone who takes over the Vantera business, and we will tell you if we do; if you are a consumer, this will not reduce your rights.
- If part is invalid. If a court finds part of these terms unenforceable, the rest still applies.
- No waiver. If we do not enforce a right straight away, we can still enforce it later.
- Third parties. Only you and we can enforce these terms.
- Whole agreement (business customers). These terms, the Licence Agreement, the Refund Policy and your invoice (or accepted purchase order) are the whole agreement between us. Terms printed on or attached to your purchase order do not apply.
